  1. Introduction

    1.1 Please read the following terms of use ("Terms of Use") carefully before using any of the services available through this Website (as this term is defined at Clause 1.3).

    1.2 In these Terms of Use:

    (a) "We" means EY Global Services Limited, a limited liability company registered under English Law with its registered office at 1 More London Place, London SE1 2AF, United Kingdom (and "Our" and "Us" shall be construed accordingly);

    (b) "You" means a user of the Website and/or the services available on the Website (the "Services"), (and "Your" shall be construed accordingly).

    (c) "EY" means the global organisation of member firms of Ernst & Young Global Limited ("EYG"), each of which is a separate legal entity. EYG, a UK company limited by guarantee, does not provide services to clients.

    1.3 The website at alumni.ey.com and its sub-domains, or such other address as may apply from time to time (the "Website") is a platform used to host the Global Alumni Portal (the "Alumni Portal"), the purpose of which is to provide various services to You (the “Services”). The Website is administered on Our behalf by PeoplePath GmbH, with its registered office at Friedenheimer Brücke 20, 80639 Munich, Germany (“PeoplePath”) and hosted in PeoplePath’s data centre in Frankfurt, Germany.

    1.4 These Terms of Use set out the terms and conditions on which We agree to make available and You agree to access and use the Website and the Services.
     
  2. Acceptance of the Terms of Use

    2.1 By using this Website and/or the Services, You agree to be legally bound by these Terms of Use and you agree to the processing of any of Your personal data in accordance with the Privacy Policy

    2.2 If You do not agree with these Terms of Use or the processing of any of Your personal data in accordance with the Privacy Policy, You must not use the Website or Services.
     
  3. Amendments to the Terms of Use

    We reserve the right to amend these Terms of Use at any time. If We do so, We will notify You of the amendment by publishing the change on the Website. You are advised to regularly review the Website for any such change and note the date set out above on which these Terms of Use were last updated. The amended Terms of Use will take effect from the date on which We publish any amendment on the Website and from then on will govern the relationship between You and Us in respect of Your use of the Website and Services. If You do not agree with the amended Terms of Use, You may not continue to use the Website or order any Services. In addition, when using particular Services, You shall be subject to any posted guidelines or rules applicable to those Services that may be posted from time to time. All such guidelines or rules are hereby incorporated by reference to these Terms of Use. We may also offer certain Services from time to time that are governed by different terms of service but, if so, will make this clear to You.
     
  4. Registration and Security

    4.1 We shall act in our absolute discretion in deciding whether or not to accept You as a user of the Alumni Portal as part of the Services. Our decision will be final.

    4.2 Unless otherwise agreed, only the following individuals will be eligible to register to use the Alumni Portal and access the Services as provided by Us:
    (a) former partners and employees within EY
    (b) friends and family of those individuals eligible under Clause 4.2(a);
    (c) current employees within EY;
    (d) any such individuals as deemed eligible by Us.

    4.3 If We accept Your registration you shall be able to create a unique username and password ("Login Details")] to access the Alumni Portal. You must ensure that You have appropriate security measures in place to ensure that your Login Details are kept confidential and prevent any unauthorised individual accessing the Alumni Portal through the use of Your Login Details.

    4.4 You shall not leave any Alumni Portal session unattended and shall be responsible for all use that occurs under Your Login Details, regardless of whether any such use is by You or by authorised or unauthorised third parties.

    4.5 You agree to:

    4.5.1 immediately notify Us of any unauthorised use of Your Login Details or of any other breach of security; and

    4.5.2 ensure that You exit from your account at the end of each session.

    4.6 We cannot and will not be liable for any loss, damage or other liability arising from Your failure to comply with this Clause 4 or from any unauthorised access to or use of Your account.

    4.7 You understand and agree that the Website and Services are provided "as-is" and that We assume no responsibility for errors in the Website or Services or for the timeliness, deletion, misdelivery or failure to store any user communications or personalisation settings. If you are aware of any errors in the Website or Services please notify us.

    4.8 You shall not link any other websites to the Website without first obtaining Our prior written consent.

    4.9 We are under no obligation to update the Website or Services and do not guarantee that the Website or Services will meet Your expectations.

    4.10 We reserve the right at any time to modify, suspend or discontinue, temporarily or permanently, the Website or Services (or any part thereof) with or without notice. You agree that We shall not be liable to You or to any third party for any such modification, suspension or discontinuance of the Website or Services.
     
  5. Conditions of Use

    You agree that you shall:

    (a) provide true, accurate, current and complete information about yourself, as prompted by the Alumni Portal's registration form (if applicable), and/or maintain and promptly update information about yourself to keep it true, accurate, current and complete;

    (b) treat the data of other users of the Alumni Portal as confidential;

    (c) not undertake any activity which may harm EY's reputation or bring EY into disrepute;

    (d) not use the Website or Services for any fraudulent purpose or to send, upload or post any information, data, images, sound or visual recordings or other material which is abusive, defamatory, indecent, menacing, obscene or breaches the rights (including intellectual property rights) of any third party;

    (e) not use the Website to impersonate any person or entity, falsely state or otherwise misrepresent your affiliation with any person or entity, or express or imply that We endorse any statement you make;

    (f) not introduce, transmit or otherwise make available on or via the Website or Services any virus, worm, Trojan horse, spyware, or other computer code, file, or program that is harmful or invasive or is intended to damage or hijack the operation of, or to monitor the use of, any hardware, software, or equipment;

    (g) not restrict or inhibit any other person from using the Website or Services (including by hacking or defacing any portion of the servers or networks used to host the Website or Services);

    (h) not use the Website or Services to send unsolicited emails or other communications to anyone other than registered users of the Alumni Portal;

    (i) not, without Our prior written consent, display, circulate, publish, retransmit, redistribute, reproduce, duplicate, copy, sell, resell or otherwise exploit, or provide any kind of access to all or any part of the Website or Services by any means or medium now or hereafter created;

    (j) not modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the Website or Services;

    (k) not remove any copyright, trademark, or other proprietary rights notice from any portion of the Website or Services;

    (l) not create a database by systematically downloading and storing any material made available to You on the Website or through the Services;

    (m) not use any robot, spider, search/retrieval application or other manual or automatic device to retrieve, index, "scrape", "data mine", or in any way gather or reproduce the material made available to You on the Website or through the Services or circumvent the navigational structure or presentation of the Alumni Portal without our express prior written consent.
     
  6. No Unlawful or Prohibited Use
    As a condition of Your use of the Alumni Portal, You warrant to Us that You will not use the Website or Services for any purpose that is unlawful or prohibited by these Terms of Use. You may not use the Website or Services in any manner which could damage, disable, overburden, or impair the Website or Services or interfere with any other party's use and enjoyment of the Website or Services. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Website or Services. You understand that using the Website or Services for an illegal purpose or in breach of these Terms of Use may result in removal of your Content (as this term is defined at Clause 9) and/or termination of your membership to the Alumni Portal.
     
  7. International Use
    Recognising the global nature of the Internet, You agree to comply with all local rules regarding online conduct and acceptable Content. Specifically, You agree to comply with all applicable laws regarding the transmission of data from the country in which You reside.
     
  8. Permitted Use of the Services

    8.1 On the Alumni Portal You may (through the Services):
    (a) upload a photo of yourself on Your personal profile;
    (b) communicate with other registered users within the Alumni Portal;
    (c) submit posts to forums and/or comment on posts of other users;
    (d) view and/or join groups created by other users and/or by Us, view group users, post messages within group communities;
    (e) create a new group and allow other users to join, and post comments;
    (f) apply for a vacancy at EY;
    (g) post a job vacancy;
    (h) apply for a vacancy through third party links;
    (i) use other Services as made available to you from time to time.
     
  9. Content posted by You.
    You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that You, and not Us, are entirely responsible for all Content that you upload, post, email or otherwise transmit via the Alumni Portal or the Services.
     
  10. Material Provided to Us or Posted on the Website

    10.1 Except where noted otherwise, or where material is clearly provided on the Website by a third party, the global material on the Website is owned and operated by EYGM Limited ("EYGM"). EYGM Limited is a limited liability company registered in the Bahamas and is a member firm of EYG. EYGM is a central coordinating entity and does not provide services to clients.

    10.2 The Website and Content are provided for informational purposes only. They are not intended to constitute professional advice or services and should not be relied upon by you. You should consult with a professional advisor familiar with your particular factual situation for advice before making decision based on the Website or any of its Content. The Website and any of its Content may not be relied on by any third party.

    10.3 We do not control all of the Content posted via the Website and Services and, as such, do not guarantee the accuracy, integrity or quality of such Content. You understand that by using the Website and Services, you may be exposed to Content that is offensive, indecent or objectionable. Under no circumstances will We be liable in any way for any Content, including for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed or otherwise transmitted via the Website or Services.

    10.4 You acknowledge that We do not pre-screen Content, but that We shall have the right (but not the obligation) in Our sole discretion to refuse or move any Content that is available via the Website or Services. Without limiting the foregoing, We shall have the right to remove any Content that violates these Terms of Use or is deemed by Us, in our sole discretion, to be otherwise objectionable. You agree that You must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, You acknowledge that You may not rely on any Content created by Us or submitted to Us.

    10.5 We do not claim ownership of the materials You provide to Us (including feedback and suggestions) or post, upload, input or submit to the Website or via the Services (collectively "Submissions"), unless otherwise specified. However, by posting, uploading, inputting or submitting any Submission You acknowledge and agree that You are granting Us, EY, Our suppliers and Our necessary sublicensees and successors and assigns a nonexclusive, worldwide, royalty free, perpetual, non-revocable licence to use Your Submissions in connection with the operation of the Alumni Portal and the Services.

    10.6 You acknowledge and agree that We may preserve Your Content and may also disclose Your Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to:

    10.6.1 comply with any legal process;

    10.6.2 enforce these Terms of Use;

    10.6.3 respond to claims that any of Your Content violates the rights of third-parties; or

    10.6.4 protect the rights, property, or personal safety of Us, EY, Our suppliers, Our other users and/or the general public.

    10.7 You understand and agree that the technical processing and transmission of the Services, including your Content, may involve:


    10.7.1 transmissions over various networks; and

    10.7.2 changes to conform and adapt to technical requirements of connecting networks or devices.

    10.8 You acknowledge that We may establish general practices and limits concerning use of the Website or Services, including:

    10.8.1 the maximum number of days that email messages, message board postings or other uploaded Content will be retained by the Services;

    10.8.2 the maximum disk space that will be allotted on Our servers on your behalf; and

    10.8.3 the maximum number of times (and the maximum duration for which) You may access the Website and Services in a given period of time.

    10.9 You agree that We have no responsibility or liability for the deletion or failure to store any Content maintained or transmitted by the Services.

    10.10 You acknowledge that We reserve the right to log off accounts that are inactive for an extended period of time.

    10.11 You further acknowledge that We reserve the right to change any of the general practices described in Clauses 10.8 to 10.10, in Our sole discretion, with or without notice.

    10.12 You hereby give your express consent that We may migrate your Content to any replacement website for the Website, as and when We see fit.
     

  11. No Resale of Service
    Unless otherwise specified, You agree not to display, distribute, licence, perform, publish, reproduce, duplicate, copy, create derivative works from, modify, sell, resell, exploit, transfer or transmit for any commercial purposes, any portion of the Website or Services, use of the Website or Services, or access to the Website or Services.
     

  12. Use of APIs and Hyperlinks

    12.1 The Services may provide, or third parties may provide, links to other sites and resources on the Internet (whether through application programming interfaces ("APIs") or hyperlinks).

    12.2 Where We have no direct control over linked sites or resources, You acknowledge and agree that We are not responsible for the availability of such external sites or resources, and that We do not endorse and are not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that We shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such Content, goods or services available on or through any such site or resource.

    12.3 Where We do have direct control over any linked sites or resources, unless We specify otherwise, these Terms of Use shall apply to Your use of such sites and resources.
     

  13. Posting a Job Vacancy on the Alumni Portal

    13.1 You may post a job vacancy on the Alumni Portal, which shall be subject to obtaining Our prior written consent and approval. You shall ensure that any role posted by You complies with all laws and regulations in any applicable jurisdiction and that you have any necessary permission to do so. We shall act in Our absolute discretion in deciding whether or not to approve a job vacancy as submitted by You. Our decision is final.

    13.2 You agree that You accept all responsibility in relation to any job vacancy You post on the Alumni Portal, including accepting full liability for Your actions and any claims, losses, liabilities, damages, costs, charges or expenses arising, directly or indirectly, from Your job posting.
     

  14. Applying for a Role Posted by an Alumni or Third Party

    14.1 If you wish to respond to a job vacancy placed on the Alumni Portal (either posted by a registered alumni or a third party), please ensure you respond to the alumni or third party (as appropriate) directly.

    14.2 You agree that You accept all responsibility in relation to any application that You may make to any job vacancy, including accepting full liability for Your actions and any claims, losses, liabilities, damages, costs, charges or expenses arising, directly or indirectly, from Your application.

    14.3 You agree that We do not act as an employment agency by providing these roles to You, as presented on the Alumni Portal, and that We have no responsibility in relation to any application You make.
     

  15. Limitation of Liability

    15.1 The following provisions set out Our entire financial liability (including any liability for the acts or omissions of EY and Our suppliers, subsidiaries, affiliates, officers, agents, partners and employees (the “EY Persons”)) to You in respect of:

    15.1.1 any breach of these Terms of Use;

    15.1.2 Your use of the Website or Services or inability to use the Website or Services; and

    15.1.3 any representation, misrepresentation (whether innocent or negligent), statement or tortious act or omission (including negligence) arising out of or in connection with these Terms of Use.

    15.2 All warranties, conditions and other terms implied by statute or common law are excluded from these Terms of Use to the fullest extent permitted by law.

    15.3 Nothing in these Terms of Use excludes or limits Our liability for: 15.3.1 death or personal injury caused by Our negligence; or 15.3.2  fraud or fraudulent misrepresentation.

    15.4 Subject to Clauses 15.2 and 15.3:

    15.4.1 We shall not be liable, whether in contract, misrepresentation (whether innocent or negligent), tort (including negligence) or otherwise, for:

    (a) loss of profits; or
    (b) loss of business; or
    (c) depletion of goodwill or similar losses; or
    (d) loss of anticipated savings; or
    (e) loss of goods; or
    (f) loss of contract; or
    (g) loss of use; or
    (h) loss or corruption of data or information; or
    (i) any special, indirect, consequential or pure economic loss, costs, damages, charges or expenses, whether the same are suffered by You or any person claiming under or through You and whether the same are suffered directly or indirectly.

    15.4.2 Our total liability in contract, misrepresentation (whether innocent or negligent), tort (including negligence) or otherwise, arising in connection with the performance or contemplated performance of these Terms of Use shall be limited to any amount paid by You to Us in the previous twelve (12) month period.
     

  16. Exclusions and Limitations
    Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations of Clause 15 may not apply to You.
     

  17. Indemnification
    You agree to indemnify and hold Us, EY and the EY Persons, harmless from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of any Content you submit, post or transmit through the Website or Services, Your use of the Website or Services, Your violation of these Terms of Use or Your violation of any rights of another.
     

  18. Ending the Contract

    18.1 You agree that We, in Our sole discretion, may terminate Your account and use of the Website and/or Services (or any part thereof), and remove and discard any Content within the Website or Services, for any reason, including for lack of use or if We believe that You have violated or acted inconsistently with the letter or spirit of these Terms of Use. Any suspected fraudulent, abusive or illegal activity that may be grounds for termination may be referred to appropriate law enforcement authorities.

    18.2 You agree that any termination of Your access to the Website and/or Services under any provision of these Terms of Use may be effected without prior notice, and acknowledge and agree that We may immediately deactivate or delete Your account and all related information and files in Your account and/or bar any further access to such files or the Website and/or Services, subject to compliance with local laws.

    18.3 You agree that We shall not be liable to You or any third-party for any termination of Your access to the Website and/or Services.
     

  19. Proprietary Rights

    19.1 You acknowledge and agree that the Website and Services and any necessary software used in connection with the Website and Services ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in any advertisements or information presented to You through the Website, Services or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws.

    19.2 Except as expressly authorised by Us (including our suppliers) or advertisers, You agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Website or Services or the Software, in whole or in part. Software, if any, that is made available to download from the Website or Services, excluding software that may be made available by end-users through the Services, is the copyrighted work of Us or our suppliers. Your use of the Software is governed by the terms of the end user license agreement, if any, which accompanies or is included with the Software ("License Agreement"). You may not install or use any Software that is accompanied by or includes a License Agreement unless You first agree to the License Agreement terms.

    19.3 For any Software not accompanied by a License Agreement, We grant you a personal, non- transferable and non-exclusive right and license to use the object code of that Software on a single computer; provided that You do not (and do not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software. You agree not to modify the Software in any manner or form, or to use modified versions of the Software, including for the purpose of obtaining unauthorised access to the Website or Services. You agree not to access the Website or Services by any means other than through the interface that is provided by Us for use in accessing the Website and Services.
     

  20. Notices

    20.1 We will send any notice to You under these Terms of Use to the email address You use to contact us or such other working email address that You may notify to Us from time to time.

    20.2 You agree to send any notice to Us under these Terms of Use to admin_alumni_gsp@ey.com.
     

  21. Severance
    If any provision of these Terms of Use is held to be illegal, invalid or unenforceable, such provision will be severed and the remainder of these Terms of Use shall continue in full force and effect.
     

  22. Waiver
    If You breach these Terms of Use and We take no action against You, We will still be entitled to enforce Our rights against You in relation to that breach and to use Our rights and remedies in any other situation where You breach these Terms of Use.
     

  23. Third parties
    Except as expressly provided in these Terms of Use with respect to member firms of EYG and the EY Persons, nothing in these Terms of Use is intended to confer any benefit on a third party, including, without limitation, within the meaning of the Contracts (Rights of Third Parties) Act 1999. Member firms of EYG and the EY Persons shall have the right to recover losses they have suffered in connection with these Terms of Use under the Contracts (Rights of Third Parties) Act 1999.  If any member firm of EYG or an EY Person elects not to or cannot recover such losses under these Terms of Use, such losses will be deemed to be actual losses suffered by Us under these Terms of Use, and We will be entitled to recover such losses directly against You.
     

  24. Privacy Policy
    We shall process any personal data we may receive from You in the course of performing the Services, in accordance with the Privacy Policy. You hereby consent to the processing of Your personal data in accordance with the Privacy Policy.
     

  25. Entire Agreement

    25.1 These Terms of Use, the Privacy Policy and (the "Agreement") sets out the entire agreement between You and Us and supersedes and discharges all liability arising from any previous agreements (whether oral or in writing), discussions, negotiations and understandings between us relating to those matters.

    25.2 You agree that in entering into the Agreement, You have not relied on, and shall have no remedies in respect of any express or implied warranty or representation (including any negligent misrepresentation) made by Us that is not expressly set out in the Agreement.

    25.3 Nothing in the Agreement is intended to exclude or limit Our liability for fraud or fraudulent misrepresentation.
     

  26. Governing law and jurisdiction

    26.1 These Terms of Use are governed by and shall be construed in accordance with the laws of England.

    26.2 By agreeing to these Terms of Use, You consent to the exclusive jurisdiction of the courts of England to settle any dispute which may arise out of or in connection with these Terms of Use.
     

  27. Other Miscellaneous Legal Information

    27.1 The following Clauses of these Terms of Use and any provisions of this Agreement which are either expressed to survive termination or expiry or from their nature or context it is contemplated that they are to survive such termination or extermination shall survive expiry or termination of this Agreement, howsoever arising: 7 (International Use), 10 (Material Provided to Us or Posted on the Website), 11 (No Resale of Service), 15 (Limitation of Liability), 16 (Exclusions and Limitations), 17 (Indemnification), 24 (Privacy Policy), 26 (Governing Law and Jurisdiction).

    27.2 The headings and sub-headings in these Terms of Use are for reference only and do not affect the meaning.

    27.3 Words in the singular include the plural and vice versa.

    27.4 Any word or phrase introduced by the words "including", "include", "in particular" or any similar word or expression is illustrative and is not intended to limit the meaning of the related general words.

    27.5 We may assign or subcontract all or any of its rights and/or obligations under or in connection with these Terms of Use, including the right to enforce any terms or bring any claim, to any other person at any time without needing Your or any other person’s approval. You may not assign or transfer any of your rights or obligations under these Terms of Use without Our prior written consent.
